Trade Customs & Conditions of Sale
QUOTES
A quote not accepted within 30 days is subject to review and modification. There is no charge for quotes. Quoted prices do not include sales taxes. A resale or exempt number must be provided otherwise sales taxes will be included on the invoice.
ORDERS
Orders regularly entered, verbal or written, cannot be canceled except upon terms which will compensate Alpine against loss. Certain classes of orders, e.g., volume-produced business card orders, are not subject to cancellation once the order has been placed. It will be the customer’s responsibility to inquire about any specific item upon their placement of order if they so desire.
EXPERIMENTAL WORK
Experimental work performed at customer’s request, such as traditional and/or electronic artwork, composition, plates, presswork, and materials will be charged for at current rates, paid for prior to any actual printing, and thereby become customer’s property.
PREPARATORY WORK
Traditional and/or electronic artwork, dummies, and all preparatory work created or furnished by Alpine, shall remain its exclusive property, and no use of same shall be made, nor any ideas obtained there from be used, except upon adequate compensation to be mutually determined by the customer and Alpine. If a press date has not been established upon completion of preparatory work, all charges will be due and payable according to terms.
PREPARATORY MATERIALS
Traditional and/or electronic artwork, compositions, permanent plates, and other items supplied by Alpine shall be charged to the customer. Alpine will temporarily store on its premises at the request of customer and Alpine’s acceptance, without liability.
COPY
All prices subject to review of traditional and/or electronic artwork files. Copy that requires additional work will be subject to up charges by Alpine.
CHANGES
Changes represent work performed in addition to the original specifications. Such additional work shall be charged at current rates and be supported with documentation upon request.
PROOFS
Laser or color dye sub proofs shall be provided when ordered by customer. Corrections are to be made on “master set,” returned marked “OK” or “OK with corrections” and signed by customer. If revised proofs are desired, request must be made when proofs are returned. Alpine regrets any errors that may occur through production undetected, but cannot be held responsible for errors if the work is printed per customer’s OK or if changes are communicated verbally. Alpine shall not be responsible for errors if the customer has not ordered or has refused to accept proofs or has failed to return proofs with indication of changes or has instructed Alpine to proceed without submission of proofs.
PRESS PROOFS
An inspection sheet can be submitted for customer approval, at no charge, provided customer is available at the press during time of make-ready. Any changes, corrections, or lost press time due to customer’s changes or delay will be charged for at current rates.
PRODUCTION SCHEDULES
Production schedules will be established and adhered to by customer and Alpine, provided that neither shall incur any liability or penalty for delays due to state of war, riot, civil disorder, fire, strikes, accidents, action of government or civil authority and acts of God or other causes beyond the control of customer or Alpine.
COLOR MATCHING
Because of differences in proofing mediums, equipment, paper, inks, and other conditions between color samples and production pressroom operations, a reasonable variation in color between proofs, color samples and a completed job shall constitute acceptable delivery.
OVER RUNS AND UNDER RUNS
Alpine will produce and bill for actual quantity ordered and will guarantee that quantity to be delivered for all straight runs on Alpine stock papers. All runs subject to extensive finishing will be within a 10% tolerance. Final count being within this 10% or under tolerance shall constitute acceptable delivery. When stock for the job is supplied by the customer, delivery of the full quantity ordered will be dependent upon the customer supplying sufficient stock of suitable quality for the print order, make-ready, and press adjustment, and any problems directly attributable to the condition of the paper.
CUSTOMER FURNISHED MATERIALS
Additional cost due to delays or impaired production caused by customer’s paper stock or correction to customer’s artwork will be charged for at current rates.
CUSTOMER’S PROPERTY
Alpine will maintain fire, extended coverage, vandalism, malicious mischief, and water leakage insurance on all in-process property belonging to the customer, while such property is in Alpine’s possession; Alpine’s liability for such property shall not exceed the amount recoverable from such insurance.
DELIVERY
Unless otherwise specified, the price estimated is for a single shipment, without storage, F.O.B. Alpine’s pick-up area. Proposals are based on continuous and uninterrupted delivery of complete order, unless specifications distinctly state otherwise. Charges related to delivery from Alpine, or from customer’s supplier to Alpine are not included in any quotes unless specified. Special priority pick-up or delivery service will be provided at current rates upon customer’s request. Materials delivered from customers or their suppliers are verified with delivery tickets as to cartons, packages or items shown only. The accuracy or quantities indicated on such tickets cannot be verified and Alpine cannot accept liability for shortage based on supplier’s tickets. Title for finished work shall pass to the customer upon pick-up or delivery.
TERMS
CASH ACCOUNTS: Payments shall be deposited upon initiation, with balance due upon completion. Credit applications may be submitted for approval. CREDIT ACCOUNT: 2% discount 10 days, (subtotal only), 30 days net, 60 day accounts with balance will be C.O.D., 90 day accounts with balance will be sent to collection. Customer agrees to pay all collection fees incurred if collection of account becomes necessary. Finance charges of 11/2% per month (18% annual), or the maximum allowable by law, will be added to overdue accounts.
Claims for defects, damages, or shortages must be made by the customer within a period of five (5) days after delivery. Failure to make such claim within the stated period shall constitute irrevocable acceptance and an admission that they fully comply with terms, conditions and specifications. Alpine’s liability shall be limited to stated selling price of any defective goods, and shall in no event include special or consequential damages, including profits (or profit loss).
As security for payment of any sum due or to become due under terms of any agreement, Alpine shall have the right, if necessary, to retain possession of and shall have a lien on all customer property in Alpine’s possession including work in process and finished work. The extension of credit or the acceptance of notes, trade acceptance of guarantee of payment shall not affect such security interest and lien.
